June 3, 2024: TOB （TOB）

I read a number of articles by A on business. These reminded me that a TOB was offered to a company where I worked. That happened about five years after I first began to work there. It caused a lot of confusion all around the company. It upset the management of the company and forced them to consult the supporting bank about what to do. They and the bank agreed to reject the TOB and tried to find a way for it.
It also broke the hearts of all the workers, including me. They had nothing they could do with it but to wait and see. The representatives had meetings with the management about it. But they could do nothing but listen to what was going on. The issue was out of their control. In the meantime, the management, with the support of its house bank, succeeded in blocking the TOB. But it took a long time, and the management was forced to resign. The then president, a member of the founding family, was replaced by a banker from the house bank.
I was also very shocked by the TOB. I lost my faith in the management and my interest in the company. At the same time, I missed the chance to work in the US office. So, I left the company. My wife was for it, too.
At that time, TOB was not as common in business as today. So, the TOB made a stir and was even on the front page of a local newspaper in Kyoto, which had nothing to do with the company.
About forty years after that, the company was faced with TOBs several times and was forced to delist from the Tokyo Stock Exchange. Nevertheless, it is still in existence as a member of an electronics group.

　ボクを含め、すべての従業員ががっかりしました。でも、従業員にできることは何もなく、ただ見守るしかありませんでした。代表者たち（組合）がこの件に関して経営陣と会合を持ちましたが、状況を聞くことしかできませんでした。この問題は彼らの管轄外だったためです。そうこうしているうちに、経営陣はメインバンクの支援を得て、TOBを阻止することに成功しました。でも、長い時間を要し、経営陣は辞任に追い込まれました。当時の社長は創業家一族でしたが、メインバンクの人が後任につきました。
　ボクもTOBには大きなショックを受けました。経営陣への信頼を失い、会社への関心もなくなりました。同じ時期に、アメリカ支社で働くチャンスも逸しました。それで、会社を辞めることにしました。妻と家族も賛成してくれました。
　その当時、TOBは今ほど一般的はなかったため、このTOBは世間を騒がせました。会社とは関係のない京都の地方紙の一面にもなりました。
それから約40年、会社は何度もTOBに遭い、東証上場廃止に追い込まれました。とはいえ、現在もエレクトロニクス系のグループ企業の一員として存続しています。
