社債発行や融資による資金調達の際、契約書に記載される債務者側の義務や制限などの特約条項のこと。情報開示義務や財務制限、事業維持などの条項があり、資金供給者側に不利益が生じた場合は契約解除や条件変更ができるよう規定されている。英語ではCovenants。
