英文変更契約のアウトライン

英文変更契約が、どのような内容か、大まかなアウトラインを示します。

1. タイトル (Title)

Amendment: 変更契約のタイトルとしては、スタンダードなものとしては、Amendmentである。
　１回だけの変更であれば、単にAmendmentだけでもよいだろうが、２回目、３回目の変更というのであれば、何回目の変更であるかを明確にするために、2nd AmendmentとかAmendment No.2と明示する。
　また、単にAmendmentというタイトルであれば、どの契約の変更かわからなくなるので、Amendment to Commercialization Agreementといった形で、原契約の名称を追記しておいた方が分かりやすい。
Addendum:  原契約では規定していなかった内容を付け足したり、補足する場合には、Addendum(補遺)という用語を用いることもある。
Memorandum of Understanding:  変更というニュアンスを薄めて当事者の意思を確認するという点を示したい場合には、Memorandum of Understandingというタイトルにする場合もある。覚書というニュアンスになる。しかし、Memorandum of Understandingでは、法的拘束力がないように思われる恐れがあるのであれば、条項の中で "The parties intend this Memorandum of Understanding to be legally binding."と書いてlegally bindingであることを明記したり、タイトルをLegally-Binding Memorandum of Understandingと書いたりする。(参考：Is a Memorandum of Understanding Legally Binding? | Legal Insights – MySmartBox）(Project Scotland - Memorandum of Understanding - EXECUTION VERSION March 2022.pdf (dws.com))
Amended and Restated Agreement: 変更箇所が多かったり、既に何回も変更を重ねており、この際に、変更箇所をまとめて契約書全文を書き改めたい場合には、"Amended and Restated XXXX Agreement"というタイトルにする。（参考: Amended and Restated Agreement (sec.gov))

2. 頭書 (Premises)

変更契約の頭書では、次のような事項を記載する。
① 変更契約の名称を記載し定義する。変更契約の発効日を記載する。
➁ 当事者の名称と記載し定義する。当事者の所在地や設立根拠法については、原契約に既に記載されているので、変更契約では省略できる。
➂ どの契約を変更するのかを特定して、それを原契約(Original Agreement)と定義する。なお、この変更契約の前に、既に原契約が変更されている場合には、(as heretofore amended)という文言を挿入する。

• By this 2nd Amendment ("2nd Amendment"), effective as of January 16, 2024, Excelsior Inc. ("EXCELSIOR") and Akatsuki Co., Ltd. ("AKATSUKI") agree to amend License Agreement effective as of April 1, 2020 (as heretofore amended, "Original Agreement") as follows

• This Amendment to ... Agreement (this “Amendment”), made and entered into as of ..., by Excelsior Inc. and Akatsuki Co., Ltd. …

3. 前文・経緯 (Preamble/Recitals/Whereas Clause/Background)

変更する理由がわかるように、なぜ契約を変更する必要があるのか、変更の目的などを記載する。
また、原契約に規定されている契約変更に関する条文を記載することもある。
記載の仕方は、PreambleやRecitalsやBackgroundというサブタイトルのもと、箇条書きで記載したり(参考：sec.gov/Archives/edgar/data/1645590/000110465916154181/a16-20762_1ex2d1.htm）(AMENDMENT NO. 1 TO LICENSE AGREEMENT | MIDWAY GAMES INC | Business Contracts | Justia) (Amended & Restated License Agreement (sec.gov))、
英米法の伝統的な書き方としては、WITNESSETH:とかWITNESSETH THAT: と記載して、Whereas …. または、WHEREAS, … という形で列挙する。

4. 約因文言 (Consideration Clause)

英米法の約因論に基づき、下記のような文言を記載する。
NOW, THEREFORE, in consideration of the premises and the mutual covenants herein contained, the Parties hereto hereby agree as follows:

5. 定義条項 (Definitions)

変更契約にあたり、新たに定義する必要のある文言があるのであれば、定義条項を置く。
特に新たに定義する文言がなく、原契約で定義した文言をそのまま使うのであれば、下記のような文言を、頭書と前文の間の位置に規定しておく。

6. 本文 [変更内容] (Operative Part / Body of an agreement)

7. 変更しない条項 (Other Terms Unchanged Clause)

変更契約で変更した条件以外は、変更されずに、有効に存続している旨を明記する。
Except as expressly provided in this Amendment, all of the terms, covenants, agreements and conditions of the Original Agreement shall remain in full force and effect.  (参考：sec.gov/Archives/edgar/data/1502377/000115752319002298/a52133162ex4_1.htm）
Except as amended herein, all other terms and conditions of the Original Agreement shall remain unchanged and in full force and effect.

8. 結語 (Closing/IN WITNESS WHEREOF …)

下記のような文言で、変更契約を締めくくる。
IN WITHNESS WHEREOF, authorized representatives of the Parties have executed this Amendment.

9. 署名欄 (Signature Block)

署名欄に、会社名、署名者氏名、役職、署名日を記載する。

10. 変更契約の例文：テンプレート

                     2nd Amendment to Japan License Agreement
By this 2nd Amendment ("2nd Amendment"), effective as of January 17, 2024, Excelsior Inc. ("EXCELCIOR") and Akatsuki Co., Ltd. ("AKATSUKI") agree to amend Japan License Agreement effective as of June 1, 2020 (as heretofore amended, "Original Agreement") as follows.

Capitalized terms used but not defined herein shall have the meanings ascribed thereto in the Original Agreement.

                                                 RECITALS:

A.  Due to the expected organizational changes of AKATSUKI, AKATSUKI plans to reduce its salesforce for the Product. 
B.  After negotiation between the Parties, in order to respond to the situation described in A above, EXCELSIOR and AKATSUKI desire to amend the Original Agreement in accordance with Section 5 thereof.

NOW, THEREFORE, in consideration of the premises and the mutual covenants herein contained, the Parties hereto hereby agree as follows:

1.  Section 2(b) of the Original Agreement is hereby amended to read in its entirety as follows: ………………………….
