The typical type of the article of incorporation for NPO

Even if you know enough about the article of incorporation for private companies, drawing up the article of incorporation (Teikan) for NPO is a bit tough task.

Many local governments provide samples of the typical article of incorporation on their websites.
Although they are almost the same, you should use the format that your local government provides. It is always the easier way to deal with local governments, you know.
Here is the sample from Chiba Prefectural government.

The typical article of incorporation for NPO contains necessary information as follows;
・Name of the NPO
  ※The name has to contain the word "tokuteihieirihoujin" which means NPO in Japanese
・The Main office address (and branch office address, if any)
・Mission
・Non-Profit Activities you plan to do with the NPO
  ※You have to pick up one or more activity areas from 20 areas defined in the NPO Law. (Please refer to my previous article.)

・Other Activities, if any
 ※You can do other profit-making activities only if the profit is used for non-profit activities. You are not allowed to allocate the profit to members or governors.
・Membership Rules
  ※Ex. membership categories, eligibility for membership, membership fee  etc.
・Rules for Directors and Auditors
※Ex. the number of directors, selection process, responsibility,term etc.
・General Assembly
・Board Meeting
・Assets and Accounting
・Change of the article of incorporation, dismissal, and Merger of the NPO
・Public Announcement
※All NPOs have to publish their financial statements every fiscal year on their website or in their offices for public inspection.
・Secretariat
・Miscellaneous

You have to include the member list of directors and auditor(s) in the supplementary provision when you set up the NPO.

Drawing down the long and complicated article of incorporation may seem to be a bewildering task for ordinary people. 
But many local governments provide samples in which all sentences are already written and only you have to do is modify them.
