Terms of Service

These Terms of Service (hereinafter referred to as "these Terms") set forth the conditions of use for the NFT sales service (hereinafter referred to as "the Service") provided by SEEDER Corporation (hereinafter referred to as "the Company"). Before using the Service, please read these Terms and the Privacy Policy separately established by the Company (hereinafter referred to as "the Privacy Policy"). If you do not agree to these Terms, you may not use the Service.

Article 1 (Purpose and Content of the Service)

  1. The purpose of these Terms is to define the conditions for using the Service and the rights and obligations between the Company and prospective users (defined in the following article, paragraph 1).

  2. The Service is a service provided by the Company through its website (hereinafter referred to as "the Website") to sell NFTs (Non-Fungible Tokens issued on the blockchain using blockchain technology, or information necessary for trading digital data on the Service, recorded on the blockchain by methods determined by the Company. Hereinafter, the same applies.) to prospective users (hereinafter, the NFTs sold on the Service are referred to as "the NFTs").

  3. Minors should use the Service with the consent of their parental authority or legal guardian. If the Service is used without such consent, or if it is falsely claimed that consent has been obtained or that the user is of age, any legal acts related to the Service cannot be canceled. Also, some parts of the Service may not be available to minors. The Company bears no responsibility if a minor purchases a product despite the Company explicitly stating that it is not for sale to minors.

Article 2 (Use of the Service, etc.)

  1. Those who wish to use the Service (hereinafter referred to as "Prospective Users") must agree to these Terms and the Privacy Policy and connect their cryptocurrency wallet, in which they have set up a wallet address for receiving the NFTs (hereinafter referred to as "NFT Distribution Address"), to the Website by the method prescribed by the Company.

  2. Prospective Users represent and warrant that they do not and will not in the future fall under any of the following conditions. The Company may refuse the use of the Service without prior notice or demand if it determines that a Prospective User falls under or is likely to fall under any of the following conditions. The Company is not obliged to disclose the reasons for refusal.

    1. (1) The individual or their officers (including employees who execute business, directors, executive officers, or those equivalent) are anti-social forces (including organized crime groups, members of organized crime groups, individuals who have not been members for less than five years, quasi-members of organized crime groups, companies or organizations related to organized crime groups, sokaiya, social movement or political activity racketeers, special intelligence violence groups, right-wing groups, or other similar anti-social forces. Hereinafter, the same applies.) or are involved in maintaining, operating, or managing anti-social forces through financial support or other actions.

    2. (2) The individual has been refused membership registration or had their account canceled in the Service or other services provided by the Company, or has violated contracts or other agreements with the Company in the past.

    3. (3) The individual uses the Service for illegal or unjust purposes, or the use of the Service is likely to tarnish the Company's social reputation.

    4. (4) The Company reasonably determines that it is inappropriate for the Prospective User to use the Service.

Article 3 (Use of Wallets, etc.)

  1. To purchase the NFTs using the Service, Prospective Users must prepare a cryptocurrency management wallet, such as MetaMask, at their own responsibility.

  2. Prospective Users are responsible for managing information related to their wallet's private key or seed phrase and all other information used in connection with the use of the Service (hereinafter referred to as "Wallet Information, etc.") to prevent unauthorized use by third parties and bear full responsibility for any actions taken using their Wallet Information, etc.

  3. The Company may consider any actions taken using the Wallet Information, etc. as actions by the Prospective User who should manage the Wallet Information, etc.

Article 4 (Purchase of the NFTs, etc.)

  1. A sales contract for the NFTs between the Company and the Prospective User (hereinafter referred to as "the Purchaser") is established when the Prospective User performs an operation on the sales page of the NFTs on the Website that definitively indicates their intention to purchase the NFTs.

  2. The Company may impose certain restrictions on the purchase amount of the NFTs, the number of purchases, and other matters related to the sale of the NFTs, and the Purchaser must comply with these restrictions
