株主が払い込んだ金額のうち、会社が資本金としたもの。
株主より払い込まれた金額のうちで、会社が資本金としなかったものは株主払込剰余金となる。
株主の有限責任を、株式会社の特質とすることから、最低限維持すべき純資産を示すことが要求されており、その基準となるのが資本金である。
